Terms of Service

These terms outline the legal framework for collaborating with OnIT Solutions on AI strategy, development, and automation projects. Please review them carefully before engaging our services.

OnIT Solutions Pty Ltd is an Australian company operating under the laws of New South Wales. We provide managed IT support, cybersecurity services, AI strategy consulting, and custom automation development to businesses across Australia. Our services are governed by individual statements of work and, where applicable, master services agreements that incorporate these general terms.

These terms are designed to be clear and fair to both parties. If any provision is unclear or you have questions about how specific terms apply to your engagement, please contact our legal team before proceeding. We are happy to discuss and clarify any aspect of our terms prior to commencing work.

Most OnIT Solutions engagements are governed by a Statement of Work (SOW) that details the specific scope, deliverables, timeline, and commercial terms agreed between the parties. The SOW is the primary governing document for individual projects, and in the event of any conflict between the SOW and these general Terms of Service, the SOW takes precedence. For ongoing managed IT and cybersecurity retainer services, the applicable service schedule attached to your service agreement governs the specific service levels, response times, and inclusions. We recommend all clients retain a copy of their executed agreements for reference throughout the engagement.

OnIT Solutions is committed to delivering services with commercially reasonable skill, care, and diligence. We carry professional indemnity and public liability insurance appropriate for the nature and scale of our operations. Clients in regulated industries — including healthcare, financial services, and legal — should note that while we provide technical and strategic IT services, we are not licensed to provide legal, medical, or financial advice, and our recommendations regarding compliance frameworks should be reviewed against the specific requirements of your regulatory environment in consultation with appropriately qualified advisors. If you require documentation of our insurance coverage or professional certifications for procurement or compliance purposes, please contact us and we will provide the relevant certificates.

1. Acceptance of Terms

By accessing our website, engaging our consulting services, or deploying our AI solutions you agree to these Terms of Service and any referenced policies.

2. Services & Statements of Work

Each project is governed by a mutually executed statement of work describing scope, deliverables, timelines, and commercial terms. In the event of conflict, the SOW prevails.

3. Client Responsibilities

You agree to provide timely access to subject matter experts, systems, and data required to deliver the engagement, and to obtain all necessary consents for any data shared with OnIT Solutions.

4. Intellectual Property

Pre-existing IP remains the property of the originating party. Unless otherwise stated, newly developed AI assets and deliverables created for you become yours upon full payment, while OnIT retains underlying frameworks and know-how.

5. Confidentiality

Both parties will protect confidential information with at least the same degree of care used for their own sensitive information and limit use to fulfilling contractual obligations.

6. Warranties & Disclaimers

Services are provided with commercially reasonable skill and care. We do not warrant uninterrupted operation or that solutions will meet every unique business requirement unless explicitly documented.

7. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Aggregate liability is capped at fees paid in the twelve months preceding the claim.

8. Payment Terms

Invoices are payable within 14 days unless otherwise specified. Late payments may accrue interest at 1.5% per month or the maximum permitted by law.

9. Termination

Either party may terminate with 30 days' written notice or immediately for material breach. Upon termination you must pay for services delivered up to the effective date.

10. Governing Law

These terms are governed by the laws of New South Wales, Australia, and disputes will be handled in NSW courts unless otherwise agreed in writing.
